For over 35 years, I have represented entrepreneurs who start and grow technology-based enterprises and angel and venture investors who target those companies. Clients seek my assistance in strategic business plan development; entity selection and formation; private and public fundraising (including crowdfunding) and securities law compliance; employment and compensation plans and agreements; and merger and acquisition activities. 

I am the founder of AngelPolleNation, a Twin Cities networking organization that furthers awareness, communication and education among solo investors, informal investment clubs and formal angel investment groups. APN has hosted over 30 quarterly events and profiled over 90 companies since inception in 2011.  APN also runs Piranha Pool™, an annual live investor event at the spring MinneBar tech conference.  I am an advisory board member to Gopher Angels, a local investor network, and serve as a judge in the high-tech division of the annual Minnesota Cup business plan competition.  I have also served as a mentor for the Techstars Farm-to-Fork and gener8tor Minnesota beta accelerator programs and am an advisor to the Great North Capital Fund.

Larry Fox

I enjoy putting deals together and acting as a trusted adviser to my clients. I have represented a broad range of companies from startups to Fortune 500’s. I am fortunate to work on a wide variety of matters including complex business agreements, intellectual property licenses, joint ventures, strategic partnerships, mergers, acquisitions, and company formation, financings and governance. I also serve as outside general counsel, responding to the day-to-day legal needs of my clients. 

I have deep experience working with technology-based clients. I represent a variety of companies developing new technologies such as artificial intelligence, hardware, software, 3D printing, novel chemistry solutions and green and bio-based chemistry solutions. 

Prior to joining Avisen, I served as General Counsel and Secretary of Nature Works LLC (formerly Cargill Dow), worked as a Senior Attorney at Intel Corporation (advising its new business incubator), and grinded away as a corporate associate at Covington & Burling in Washington, D.C.

Bill Egan

I have more than 30 years of experience representing executives, business owners, private enterprises and small-to-midsize public companies as an advisor, counselor and advocate on matters relating to the employment relationship. Informed by years of experience with both routine and unusual employment relationships and workplace situations, I bring a pragmatic, realistic and results-oriented perspective to issues arising in the workplace. 

My primary practice involves the executive employment relationship. I represent executives, business owners and corporate boards on employment law issues.  I have a wealth of experience drafting and enforcing executive employment agreements, equity agreements, codes of business conduct, non-compete/non-solicitation agreements, indemnification agreements, retention and change-in-control agreements, long-term incentive plans, bonus and commission plans, and transition and severance agreements. 

I also advise employers on a wide range of human resource matters. I enjoy serving as a sounding board and problem-solver for business owners and human resources representatives with difficult employee discipline issues, discharge decisions, non-compete disputes, whistleblower claims, employee theft investigations, substance abuse, sexual harassment and other workplace misconduct.  I also help clients navigate the increasingly complex federal and state regulatory environment governing the workplace, ensuring they have implemented best practices with contracts, documentation, policies, procedures and practices.

Abigail Pettit

Abigail Pettit is passionate about her role as a counselor and educator and believe that the first and most important step in a successful attorney-client relationship is understanding what is most important to her clients. She takes the time to get to know my clients and learn about their lives and businesses, so that we can work together to plan a future that achieves their goals. Her clients are families, closely held businesses and their owners, family farms, independent community banks, credit unions, and trust companies.

Abigail advises financial institutions on lending transactions, risk mitigation, and consumer products and services. She provides outside general counsel services for institutions which may not need a full-time in house general counsel.  Abigail understands the business side of banking, and love working with her clients on long-term legal strategy, unique one-time issues, and everything in between.

Abigail also advises families with multi-generational wealth on how to achieve their estate planning goals. She has extensive experience in entity law, mergers and acquisitions, real estate, finance, and estates and trusts, and she loves finding creative solutions to meet my clients’ needs. She also represent personal representatives and trustees during the probate and trust administration process.

In my free time, Abigail sings in Calliope Women’s Chorus in St. Paul. She and her husband love to hike and explore Minnesota state parks, along with our German shepherd and two kids.
